Shef’s Scholars provides its services to You ("You") via its website located at www.shefscholars.com (the "Website"), third party websites, other servers and related mobile applications (collectively the "Services"). The Services are provided subject to the following Terms of Services ("TOS"), which may be updated by us from time to time without notice to You. The Service is provided "AS-IS" and Shef’s Scholars assumes no responsibility for the timeliness, deletion, mis-posting, mis-delivery or failure to store any user communications or personalization settings.
Shef’s Scholars provides persons who use the Website ("Users") with Services to assist in learning certain educational subjects. Unless explicitly stated otherwise, any new features that augment or enhance the current Services,including the release of new Shef’s Scholars properties, shall be subject to the TOS

BY REGISTERING FOR, ACCESSING, BROWSING, OR USING THE WEBSITE OR THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TOBE BOUND BY THE TOS, AND YOU REPRESENT AND WARRANT THAT YOU HAVE THE AUTHORITY NECESSARY TO BIND YOURSELF, OR THE CHILD ON WHOSE BEHALF YOU REGISTER, TO THE TOS. IF AT ANY TIME YOU DO NOT AGREE TO ALL SECTIONS OF THE TOS, YOU ARE NO LONGER GRANTED A LICENSE TO USE THE WEBSITE OR THE SERVICES AND MUST DISCONTINUE ALL YOUR USE OF THE WEBSITE AND THE SERVICES.
Eligibility: The Website and the Services are not available to any person that Shef’s Scholars has previously suspended or removed. By clicking the "I Agree" button or by otherwise using, or registering for an account with Shef’s Scholars, You represent that:

You have not been previously suspended or removed from the Website or the Services by Shef’s Scholars or its agent

You are the parent or guardian registering on behalf of Your child, or Your parent and/or guardian has consented to Your use of the Website and the Services
- Your registration and Your use of the Website and the Services or their use by the child on whose behalf You have registered is and will be incompliance with any and all applicable laws and regulations
Shef’s Scholars reserves the right to suspend or terminate Services to any User, if Shef’s Scholars in its sole discretion determines that the registration information is not accurate and complete.
Account: In order to use the Website and the Services, You must register for an account. You may be asked to provide a password in connection with Your account. You are solely responsible for maintaining the confidentiality of Your account and password and for restricting access to Your computer. You accept responsibility for all activities that occur under Your account or password. The information You provide to Shef’s Scholars, whether on registration or at any other time, will be true, accurate, current, and complete. You will ensure that this information is kept accurate at all times. If You have reason to believe that Your account is no longer secure (e.g., in the event of a loss, theft or unauthorized disclosure or use of Your account ID, password, or any credit card number), You will immediately notify Shef’s Scholars. You may be liable for the losses incurred by Shef’s Scholars or others due to any unauthorized use of Your account. You will log out of Your account at the end of each session. Your account may not be shared with any person without prior express authorization from Shef’s Scholars.
Membership: When You register for an account, You will become a member of Shef’s Scholars and have the right to usethe Website and Services ("Membership"); in exchange, Shef’s Scholars will, at the close of any period for which you are not expected to not pay for Your use of the Website and Services, bill You for Fees, additional fees, Charges and taxes on a monthly basis.
Fees and Charge: Shef’s Scholars may now, or in the future, charge fees for access to and use of the Website or the Services ("Fees"). The Fees are stated at fees. You will pay all Fees and applicable taxes that Shef’s Scholars is required to collect for Your use of the Website and the Services. Any changes in Fees will be noted on the Website no less than thirty (30) days prior to the date that such Fee changes will be effective
Shef’s Scholars may also levy additional charges for Your use of the Website or the Services ("Charges"). Shef’s Scholars willprovide personal notice to you, via email or other means of delivery personal to You, prior to the levying of any Charges although, once You have agreed to such Charges, any increase in such Charges will be noted on the Website no less than thirty (30) days prior to the date that such increase in charges will be effective.
Payment Methods: By starting Your Shef’s Scholars account, You expressly agree that Shef’s Scholars is authorized to automatically charge You the Fees, other additional fees, Charges and taxes on a previously specified basis at the then-current rate. The Fees, other additional Fees, Charges and taxes will be billed at the beginning of the paying portion of your Membership and each month thereafter unless and until You cancel Your Membership and terminate Your account. If You wish to view the commencement date for Your next renewal period, You can check that information by clicking on My Account and then on Manage Account.
If Your monthly Membership began on a day not contained in a given month, Shef’s Scholars will bill Your Payor Method on the last day of such month. For example, if You became a member on January 31, Your Payor Methodwould next be billed on February 28. Shef’s Scholars will charge the Fees, if any, and other additional fees, Charges and taxes You authorize, to the PayPal account, credit card or other payment method (collectively, "Payor Method") You designate. You authorize the Payor Method You designate to pay any amounts described herein and authorize Shef’s Scholars, or any other company that acts as a billing agent for Shef’s Scholars, to continue to attempt tocharge all sums described herein to Your Payor Method until such Fees are paid in full. You will provide Shef’s Scholars with updated information regarding Your Payor Method upon Shef’s Scholars' request, and any time the information earlier provided is no longer valid. If payment is not received by Shef’s Scholars from Your Payor Method, You will payall amounts due upon demand by Shef’s Scholars.
Shef’s Scholars shall have the right to immediately preclude You from using the Website and the Services if Your account is not current.
If You wish to change Your Payor Method or need to update information regarding Your Payor Method, You must notify Shef’s Scholars of such changes by using the Manage Account page on the Website. If Your Payor Method reaches its expiration date and You do not edit Your Payor Method information or cancel Your account, You authorize Shef’s Scholars to continue to bill that Payor Method and You remain responsible for any uncollectedamounts.
The amount billed by Shef’s Scholars in each billing period may vary for reasons that include differing amounts due tochanges in Your Membership plan, and You authorize Shef’s Scholars to charge Your Payor Method for such varying amounts. Payments are non- refundable and there are no refunds or credits for partially used periods.
Credit Card Authorization: If Shef’s Scholars permits You to use a credit card to pay for any Fees, You will be asked to provide Shef’s Scholars with a credit card number from a card issuer that Shef’s Scholars accepts. Shef’s Scholars may seek pre-authorization of Your credit card account prior to a purchase to verify the credit card is valid and/or has the necessary funds or credit available to cover Your purchase. These pre-authorizations will reduce Your available balance by the authorization amount until it is released or reconciled with the actual charge.
Please contact your credit card issuer if You have additional questions regarding when an authorization amount will be removed from Your statement.
Changes in Price: No Refunds. Shef’s Scholars may at any time change its Fees. All Fees are final and non-refundable.
Shef’s Scholars owns all right, title and interest in the Website, the Services, Licensed Educational, Content (defined below) and Licensed Educational Code (defined below). All rights not expressly granted hereunder are reserved by Shef’s Scholars. Except for the limited licenses expressly granted herein, the TOS grants You no right, title, or interest in any intellectual property owned or licensed by Shef’s Scholars including, but not limited to, the Shef’s Scholars trademarks. Any rights granted hereunder are granted solely to You.
With respect to Content you submit or make available for inclusion on publicly accessible areas of the Service, the User hereby grants a non-exclusive, perpetual, irrevocable, fully sub-licensable, world-wide, fully-paid-up license which allows AoPS to use, distribute, reproduce, modify, adapt, publish, translate, publicly perform, and publicly display such Content (in whole or in part) and to incorporate such Content into other works in any format or medium now known or later developed.
License: Unless indicated as being in public domain, all educational videos and exercises provided by Shef’s Scholars (the "Licensed Educational Content") and all educational, User-readable source code made available to You by Shef’s Scholars on or through the modules or exercises (the "Licensed Educational Code") are protected by relevant intellectual property and proprietary rights and applicable laws. Subject to the TOS, You are hereby granted alimited, nonexclusive, freely revocable license to use the Website and the Services. All rights not expressly granted to You herein are reserved by Shef’s Scholars.
Shef’s Scholars may at any time change the specifications of or restrict or limit access to the Website and/or the Services in Shef’s Scholars’ sole discretion. Shef’s Scholars may use any technological means to enforce the TOS.
License Restrictions: The Licensed Educational Content and the Licensed Educational Code (collectively, the"LECs") are intended for personal, non-commercial use only.
You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages, or other materials (Content), whether publicly posted or privately transmitted, are the sole responsibility of the person from which such Content originated. This means that the User, and not Shef’s Scholars, is entirely responsible for all Content that the User uploads, posts, e-mails, transmits, or otherwise makes available via the Services. While Shef’s Scholars makes reasonable efforts not to allow offensive, indecent, or objectionable material on this site, by using the Services, the User may be exposed to Content that is offensive, indecent or objectionable. Under no circumstances will Shef’s Scholars be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or for any loss or damage of any kind incurred as a result of the use of any Content posted, e-mailed, transmitted, or otherwise made available via the Service.
The User agrees as follows:

not to harm minors or cause minors to be harmed in any way;

not to upload, post, e-mail, transmit, or otherwise make available any information that you consider confidential in nature, which posting may cause you or any third party to lose rights to the intellectual property associated with the information;

You understand that such postings may violate laws of various jurisdictions, and that you may be subject to prosecution or to civil suit;

not to intentionally or unintentionally violate any local, state, national, or international law;

not to "stalk" or otherwise harass another; or collect or store personal data about other users;

to upload, post, e-mail, transmit, or otherwise make available only material which the User has created and to which the User owns the copyrights; and

to report any violations of the above immediately to Shef’s Scholars.
The Services and any necessary software used in connection with the Services ("Software") contain proprietary and confidential information that is protected by applicable intellectual property and other laws. Information offered to You through the Services is protected by proprietary rights and laws. Except as expressly authorized by Shef’s Scholars or advertisers, You will not modify, rent, lease, loan, sell, distribute or create derivative works based on the Services or the Software, in whole or in part.
You will not copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right in the Software. You will not modify the Software in any manner, or use modified versions of the Software including, without limitation, for the purpose of obtaining unauthorized access to the Services. You will not access the Services by any means other than through the interface that is provided by Shef’s Scholars.
This Agreement, together with any other documents referenced herein constitutes the entire agreement between the parties and supersedes all previous agreements, promises, proposals, representations, understandings, and negotiations, whether written or oral, between the parties respecting the subject matter hereof.
This Agreement shall be governed by the laws of Bosnia and Herzegovina without regard to any conflicts of law provisions.
The parties agree to submit exclusively to the personal jurisdiction of a proper court located only in the Canton Sarajevo, Bosnia and Herzegovina. Both parties agree that venue is proper in the Canton Sarajevo, Bosnia and Herzegovina. The parties agree to waive any defenses based on venue, inconvenience of forum, the lack of personal jurisdiction, and the adequacy of service of process (as long as the party was at least notified by the email address provided) in any suit or action brought in the Bosnia and Herzegovina.
Regardless of any statute or law to the contrary the parties agree that any claim or cause of action arising out of this Agreement or related to the Services must be filed within one year after such claim or cause of action arises or forever be barred.
The failure of either party to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
In the event any one or more of the provisions of this Agreement shall for any reason be held to be invalid, illegal, or unenforceable, the remaining provisions of this Agreement shall be unimpaired, and the invalid, illegal, or unenforceable provision shall be replaced by the provision which, being valid, legal, and enforceable, comes closest to the intention of the parties underlying the invalid, illegal, or unenforceable provision.
Shef’s Scholars makes no warranty that: (a) the Services will meet your requirements, (b) the Services will be uninterrupted, timely, secure, or error-free, (c) the results that may be obtained from the use of the Services will be accurate or reliable, (d) the quality of any products, Services, information, or other material purchased or obtained by you through the Services will meet your expectations, and (e) any errors in the software will be corrected.
SHEF’S SCHOLARS MAKES NO WARRANTIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO, ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. SHEF’S SCHOLARS SHALL NOT HAVE ANY LIABILITY WHATSOEVER FOR ANY COVER OR SET OFF NOR FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES IS DONE AT YOUR OWN DISCRETION AND RISK. YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGETO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ORACCESS TO ANY SUCH MATERIAL.
IN NO EVENT WILL THE TOTAL LIABILITY OF SHEF’S SCHOLARS OR ITS AFFILIATES, CONTRACTORS, EMPLOYEES,AGENTS, THIRD-PARTY PARTNERS, LICENSORS, OR SUPPLIERS TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION ARISING OUT OF OR RELATING TO THE TOS OR YOUR USE OF THE WEBSITE OR THESERVICES OR OTHER USERS (WHETHER IN CONTRACT, TORT INCLUDING NEGLIGENCE, WARRANTY, OROTHERWISE), EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE WEBSITE AND/OR THE SERVICES DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM OR ONEHUNDRED DOLLARS, WHICHEVER IS LESS.
Neither party may assign or delegate any or all of its rights or its duties or obligations hereunder without the consent of the other party, which consent shall not be unreasonably withheld or delayed; provided, however, that either party may assign this Agreement, without the need to obtain consent of the other party, to an affiliate of such party or to a successor in interest to substantially all of the business of that party to which this Agreement relates. An assignee of either party authorized hereunder shall be bound by the terms of this Agreement and shall have all of the rights and obligations of the assigning party set forth in this Agreement. An assignment which is in violation of this Agreement is void.
If an ambiguity or question of intent arises with respect to any provision of this Agreement, the Agreement will be construed as if drafted jointly by the parties and no presumption or burden of proof will arise favoring or disfavoring either party by virtue of authorship of any of the provisions of this Agreement.
Either party shall be excused from performance and shall not be liable for any delay in whole or in part, caused by the occurrence of any contingency beyond the reasonable control either of the excused party or its subcontractors or suppliers including, but not limited to, war, sabotage, insurrection, riot or other act of civil disobedience, act of public enemy, failure or delay in transportation, act of any government or any agency or subdivision thereof affecting the terms hereof, accident, fire, explosion, flood, severe weather or other act of God, or shortage of labor or fuel or raw materials.
If any legal action is brought to construe or enforce any provision of this Agreement, the prevailing party shall be entitled to receive its reasonable attorneys' fees and court costs in addition to any other relief it may receive.
All materials and resources presented on or accessed through the Services is provided by Shef’s Scholars as a service to its visitors and readers and may be used for information purposes only. Shef’s Scholars assumes no responsibility for errors or omissions in these materials. Shef’s Scholars makes no commitment to update the information contained herein.
We collect certain information from a customer who is purchasing a product and/or service using our online ordering system. Such information may include: your name, your shipping address, your billing address, your credit card information, your email address, and your phone number. This information is used to process your purchase and to contact you if there is an issue with your purchase. We will share this information with our credit card payment processor. We also store information relating to your application to become a Shef’s Scholar.
We will store all of this information on our secure server, except for your credit card information, which is only retained until your payment has been processed and is not stored thereafter; however, this information may be retained by our credit card processor for the purpose of processing additional transactions, refunds, and/or chargebacks. We will not use this information for any purpose other than to process your purchase, and will not share this information with any other third party, except as described above or as may be required by law. We may use your name, phone number, and email address for marketing purposes, but only if you give your permission to do so during the purchasing process, and such permission may be withdrawn at any time by contacting us (via the methods listed under "Contact Information" below). If you give your permission, we may share that information with third parties for the purposes of sending emails and texts and with third party social media platforms you may use to share updates and information about our services/related services with you on those platforms. Even if you opt out of such communication, however, we reserve the right to send you transactional messages, including email and other communications to provide account related information, disclose maintenance, transaction-related matters (e.g., order confirmation, shipping information, account status information, etc.) and other service-related issues.
The User agrees not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the Services, use of the Services, or access to the Services.
